Fashionista Studios Art Licensing Agreement

Version 1.0 · September 2, 2026

This agreement is between Fashionista Studios (“Studio”) and the signing artist or authorized business representative (“Artist”). It becomes effective only after both parties sign a final copy. This online form records the Artist’s acknowledgement and signature request; Fashionista Studios will review it and return an executed agreement if approved.

1. Artwork and project

The licensed artwork means the photographs and/or visual assets specifically identified in the signed project summary or delivered gallery. No unpublished proofs, outtakes, raw files, or unselected images are included unless the final agreement identifies them in writing.

2. Included promotional license

Unless a separate project summary says otherwise, Fresh Face Artist Half Day and Full Day sessions include a non-exclusive, non-transferable two-year license for the Artist’s own website, organic social media, and press materials. This limited license begins when the Studio delivers the final selected images.

3. Extended commercial use

Album covers, paid advertising, merchandise, product packaging, editorial or magazine services, billboards, digital billboards, sublicensing, sale of artwork, third-party campaigns, and any use outside the included promotional license require the Studio’s prior written approval and a separate written Art Licensing Agreement. The Artist must not begin an extended use until that agreement is fully executed.

4. License scope and approval

The final agreement will identify the exact images, use category, media, territory, term, exclusivity if any, credit line, approval requirements, and fees. Rights not expressly granted remain with the Studio. The Artist may not sell, transfer, assign, sublicense, alter, create derivative works from, or authorize a third party to use the artwork without written permission from the Studio.

5. Royalty proposal for covered artwork

For artwork used in approved print, merchandise, editorial or magazine services, billboards, or digital billboards, the parties propose a 15% royalty on gross revenue attributable to sales of the covered artist artwork, unless the final agreement expressly states a different fee or royalty basis. The Artist will provide a good-faith monthly sales statement and remit any due royalty monthly while the covered artwork is sold. The final agreement will define revenue, permitted deductions, records, audit rights, payment instructions, and any minimum guarantee.

6. Credit, integrity, and publicity

Where commercially reasonable, the Artist will credit Fashionista Studios in the form specified in the final agreement. The Artist will not use the artwork in a false, defamatory, unlawful, pornographic, hateful, or misleading context, or in a way that suggests Studio endorsement of a product, cause, or third party without prior written approval. Reasonable resizing for placement is permitted only if it does not materially distort the work; all other retouching, compositing, overlays, filters, and alterations require written approval.

7. Artist promises and releases

The Artist represents that they have authority to sign, will provide accurate project information, and will obtain all necessary permissions for names, logos, lyrics, trademarks, locations, props, performers, and third-party material supplied for the project. The Artist is responsible for claims arising from materials or directions they provide. The Studio retains authorship and copyright in the artwork except for the limited rights expressly granted in the final agreement.

8. Confidentiality and records

Each party will protect non-public project, business, financial, and release information received through this relationship, except as required to perform the agreement, comply with law, or enforce rights. The Studio may retain this form, related correspondence, invoice records, proof of delivery, and electronic-signature metadata as business records.

9. Termination and governing law

If the Artist materially breaches the final agreement and does not cure the breach after written notice and a reasonable opportunity to cure, the Studio may terminate the licensed rights. On termination, the Artist must stop new use of the artwork and follow the final agreement’s removal, sell-off, and payment terms. This agreement and any final executed license are governed by Tennessee law, with Hamilton County, Tennessee as the agreed venue, subject to any mandatory law that applies.

10. Electronic signature and legal review

By checking the acknowledgement and entering a typed signature, the signer confirms that they are at least 18 years old, have authority to act for the Artist, have read this form, and intend the electronic signature to be legally binding as permitted by applicable law. This form is not legal advice and does not replace a final attorney-reviewed written agreement. Each party is encouraged to seek independent Tennessee legal counsel before relying on it.
