Location Partner Agreement

This agreement governs the terms under which a certified trainer provides a facility for the boarding and training of Fashionista Studios talent animals. Read the full agreement below before executing your electronic signature.

Version 1.0Effective September 1, 2026

Important Notice

This is a legally binding agreement. By executing your electronic signature below, you agree to all terms and conditions set forth in this document. Fashionista Studios recommends that you consult with independent legal counsel before signing. This agreement does not constitute an offer of employment and does not guarantee placement as a location partner.

1. Parties and Purpose

This Location Partner Agreement ("Agreement") is entered into between Fashionista Studios ("Company") and the individual executing this Agreement ("Location Partner"). The purpose of this Agreement is to establish the terms under which the Location Partner provides a facility for the temporary boarding and professional training of talent animals placed by the Company in connection with its pet talent and modeling programs.

This Agreement is supplemental to any separate trainer or coach employment agreement between the parties. In the event of a conflict between this Agreement and any employment agreement, the employment agreement shall control with respect to employment terms, and this Agreement shall control with respect to facility and boarding obligations.

2. Facility Requirements

The Location Partner represents and warrants that the facility identified in this Agreement meets or exceeds all of the following standards at all times during the term of this Agreement:

  • The facility is a farm, rural, or equivalent property with adequate outdoor and indoor space to safely house, exercise, and train up to six animals simultaneously without overcrowding or undue stress.
  • All enclosures, kennels, runs, and housing structures are structurally sound, secure, weatherproof, and maintained in clean condition at all times.
  • The facility has reliable access to potable water, appropriate climate control, and adequate lighting for safe animal care and training activities.
  • The facility complies with all applicable local, state, and federal laws and regulations governing animal boarding, kenneling, and care, including any required permits or licenses.
  • The facility is free from known hazards including toxic plants, unsecured chemicals, unsafe fencing, and proximity to uncontrolled traffic or predatory wildlife without adequate mitigation measures.

The Company reserves the right to conduct an initial inspection of the facility prior to placing any animals and periodic unannounced inspections during the term of this Agreement. The Location Partner agrees to provide reasonable access for such inspections upon request.

3. Animal Welfare Obligations

The Location Partner agrees to provide a standard of care consistent with or exceeding the Five Freedoms of Animal Welfare as recognized by the World Organisation for Animal Health: freedom from hunger and thirst; freedom from discomfort; freedom from pain, injury, and disease; freedom to express normal behavior; and freedom from fear and distress.

Specifically, the Location Partner agrees to:

  • Provide species-appropriate food and fresh water at all times in accordance with any dietary instructions provided by the Company or the animal's veterinarian.
  • Maintain all vaccination, parasite prevention, and veterinary care records for each animal in placement and provide copies to the Company upon request.
  • Notify the Company immediately — within two hours — of any injury, illness, escape, death, or significant behavioral incident involving any animal in placement.
  • Use only force-free, positive reinforcement-based training methods consistent with the Location Partner's professional credentials and the Company's training standards. The use of aversive tools, punishment-based methods, or any technique that causes pain, fear, or distress is strictly prohibited and constitutes grounds for immediate termination of this Agreement.
  • Not permit any third party to interact with, handle, train, or transport any animal in placement without prior written authorization from the Company.

4. Capacity and Placement

The maximum number of animals that may be placed at the facility at any one time is six (6). The Location Partner agrees not to accept placement of animals beyond this maximum without prior written approval from the Company. The Company makes no guarantee of minimum placement volume and reserves the right to place fewer than six animals at any time based on program needs.

The Company retains full ownership of all animals placed at the facility. The Location Partner has no ownership interest in any animal and may not sell, transfer, breed, or otherwise dispose of any animal in placement under any circumstances.

5. Compensation

In consideration for providing a compliant facility and meeting all obligations under this Agreement, the Company will pay the Location Partner a supplement of one thousand two hundred dollars ($1,200) per session, in addition to any base compensation payable under a separate trainer or coach agreement. The supplement applies to sessions during which at least one animal is actively placed at the facility.

The supplement is not prorated based on the number of animals placed. The supplement does not scale above $1,200 per session regardless of the number of animals placed, up to the maximum of six. Payment is subject to the Location Partner's compliance with all terms of this Agreement and will be withheld or clawed back in the event of a material breach.

The Company reserves the right to adjust the supplement rate upon thirty (30) days written notice. Continued acceptance of placements following such notice constitutes acceptance of the revised rate.

6. Insurance and Liability

The Location Partner agrees to maintain, at their own expense, the following insurance coverage throughout the term of this Agreement:

  • Commercial general liability insurance with a minimum limit of one million dollars ($1,000,000) per occurrence and two million dollars ($2,000,000) aggregate, naming Fashionista Studios as an additional insured.
  • Animal bailee coverage or equivalent care, custody, and control coverage sufficient to cover the replacement value of animals in placement.
  • Property insurance covering the facility and any Company-owned equipment or supplies stored at the facility.

The Location Partner shall provide certificates of insurance to the Company prior to the first placement and upon renewal. The Location Partner is solely responsible for any injury, loss, or damage arising from their negligence, willful misconduct, or failure to comply with this Agreement. The Company shall not be liable for any injury to the Location Partner, their employees, agents, or guests occurring at the facility.

7. Confidentiality

The Location Partner agrees to maintain the confidentiality of all non-public information relating to Fashionista Studios, its clients, talent animals, training programs, and business operations. This includes but is not limited to the identities of talent animals and their owners, production schedules, client relationships, compensation terms, and proprietary training methodologies. The confidentiality obligation survives termination of this Agreement indefinitely.

The Location Partner may not post photographs, videos, or identifying information about any animal in placement on social media or any public platform without prior written consent from the Company and, where applicable, the animal's owner.

8. Term and Termination

This Agreement is effective upon execution and continues on a session-by-session basis unless terminated. Either party may terminate this Agreement upon thirty (30) days written notice. The Company may terminate this Agreement immediately and without notice in the event of:

  • Any act of animal abuse, neglect, or use of aversive training methods.
  • Failure of the facility to meet the standards set forth in Section 2 following written notice and a reasonable cure period of not less than seventy-two (72) hours, except where the deficiency poses an immediate risk to animal welfare, in which case termination is immediate.
  • Breach of confidentiality obligations or unauthorized disclosure of Company information.
  • Criminal conviction, loss of professional credentials, or any event that renders the Location Partner ineligible under the Company's hiring standards.

Upon termination, the Location Partner agrees to cooperate fully with the Company's retrieval of all animals in placement within twenty-four (24) hours of notice, or such longer period as the parties may agree in writing.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any dispute arising under or relating to this Agreement shall first be submitted to non-binding mediation before a mutually agreed mediator. If mediation does not resolve the dispute within sixty (60) days, the parties agree to submit to binding arbitration administered by JAMS under its Commercial Arbitration Rules. The arbitration shall take place in Hamilton County, Tennessee.

10. Entire Agreement

This Agreement, together with any separate trainer or coach employment agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements. This Agreement may not be amended except by a written instrument signed by both parties. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
