Agreement Text

Preamble

This Employee Compendium Acknowledgment Agreement ("Agreement") is entered into between Fashionista Studios, LLC, a Tennessee limited liability company with principal offices in Nashville and Chattanooga, Tennessee ("the Company"), and the undersigned employee, contractor, coach, instructor, studio partner, or authorized representative ("Employee").

This Agreement is a condition of employment or engagement with Fashionista Studios. By signing below, Employee confirms that they have received, read, and understood the Fashionista Studios Employee Compendium (Version 1.0, effective January 1, 2025) in its entirety, and agrees to comply with all policies, rules, and standards contained therein.

Section 1 — Receipt & Understanding

Employee acknowledges that they have been provided access to the Fashionista Studios Employee Compendium and have had a reasonable opportunity to read and review its contents. Employee acknowledges that they understand the policies, rules, and standards set forth in the Compendium and agree to comply with them as a condition of their employment or engagement with Fashionista Studios.

Employee understands that the Compendium is not a contract of employment and does not guarantee continued employment. Fashionista Studios reserves the right to modify, suspend, or eliminate any policy at any time with or without notice. Employee agrees to review and acknowledge any updated version of the Compendium when requested by the Company.

Section 2 — Child Safety & Working with Minors

Employee acknowledges the critical importance of child safety at Fashionista Studios and agrees to comply with all policies in the "Working with Minors" chapter of the Compendium, including but not limited to:

(a) Completing and maintaining a current background check as required; (b) Adhering to the Two-Adult Rule at all times — never being alone with a minor student in any space where no other adult can see or hear the interaction; (c) Limiting physical contact with minor students to what is professional, necessary, and appropriate to the instructional context, as defined in the Compendium; (d) Complying with Tennessee mandatory reporting obligations under T.C.A. § 37-1-403 — reporting any reasonable suspicion of child abuse or neglect immediately to the Tennessee Department of Children's Services (DCS) at 1-877-237-0004 and to management within the same business day; (e) Self-reporting any new arrest, charge, or conviction to management within 48 hours.

Employee understands that failure to comply with child safety policies is grounds for immediate termination and may constitute a criminal offense under Tennessee law.

Section 3 — Parent & Guardian Communication

Employee agrees to communicate with parents and legal guardians of minor students exclusively through Fashionista Studios' official communication channels. Employee agrees not to use personal email accounts, personal social media accounts, or personal phone numbers for parent-student communication. Employee agrees to maintain the confidentiality of all student records and family information and to handle all parent complaints and escalations in accordance with the procedures set forth in the Compendium.

Section 4 — Professional Conduct & Confidentiality

Employee agrees to maintain the highest standards of professional conduct at all times, including outside of scheduled work hours when representing Fashionista Studios in any capacity. Employee agrees to disclose any conflict of interest to management promptly and to comply with all confidentiality obligations set forth in the Compendium.

Employee acknowledges that confidentiality obligations survive the termination of employment or engagement and that violation of confidentiality after separation may result in legal action. Employee agrees not to disclose any student records, financial information, personnel files, business strategies, vendor agreements, or internal communications to any unauthorized person.

Section 5 — Social Media & Online Conduct

Employee agrees to comply with all social media and online conduct policies set forth in the Compendium, including:

(a) Not posting photographs or videos of minor students to any social media account — personal or official — without written consent from the student's legal guardian and written authorization from the Executive Director; (b) Not communicating with minor students through personal social media direct messages or personal text messages; (c) Not accepting friend requests or follow requests from minor students on personal social media accounts; (d) Not posting content that disparages Fashionista Studios, its leadership, students, parents, or partners; (e) Not making unauthorized public statements about the Company's business strategy, financial position, legal matters, or personnel decisions.

Employee understands that violations of the social media policy may result in immediate termination and potential legal liability.

Section 6 — Intellectual Property & Non-Solicitation

Employee assigns to Fashionista Studios all rights to any work product created in the course of their employment or engagement, including curriculum, training materials, marketing content, photographs, videos, and any other creative or intellectual work. Employee agrees not to use Fashionista Studios' name, logo, brand, or intellectual property for any personal or commercial purpose without written authorization.

Employee agrees that during employment and for twelve (12) months following separation, they will not directly or indirectly solicit any Fashionista Studios student, client, or partner to transfer their business to a competing organization, and will not recruit or solicit any Fashionista Studios employee or contractor to leave the organization.

Section 7 — At-Will Employment

Unless a written employment agreement specifies otherwise, Employee acknowledges that their employment with Fashionista Studios is at-will, meaning that either Employee or Fashionista Studios may terminate the employment relationship at any time, for any reason or no reason, with or without notice, subject to applicable law. Employee acknowledges that nothing in the Compendium or this Agreement creates a contract of employment or a guarantee of continued employment.

Section 8 — Governing Law & Dispute Resolution

This Agreement and all employment and contractor relationships at Fashionista Studios are governed by the laws of the State of Tennessee and applicable federal law. Any dispute arising from employment or a contractor relationship that cannot be resolved internally will be subject to binding arbitration in Nashville, Tennessee, under the rules of the American Arbitration Association. Employee waives any right to a jury trial in connection with any dispute arising from this Agreement or their employment or engagement with Fashionista Studios.
